1. Agreement to Terms

By accessing or using the AUSH AI website at aush.ai (the "Site") and any services offered through the Site (collectively, the "Services"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Site or Services.

We reserve the right to update or modify these Terms at any time. Your continued use of the Site after any changes constitutes acceptance of the updated Terms.

2. Description of Services

AUSH AI provides custom artificial intelligence solutions, AI auditing and consulting, process automation, and software products including Mark Software (collectively, the "Services"). Specific terms for individual services or products may be governed by separate agreements.

3. Eligibility

You must be at least 18 years old and have the legal capacity to enter into a binding agreement to use our Services. By using the Site, you represent and warrant that you meet these requirements.

4. User Responsibilities

When using our Site and Services, you agree to:

• Use the Services only for lawful purposes
• Not attempt to gain unauthorized access to any part of the Site or Services
• Not interfere with or disrupt the integrity or performance of the Site

5. Intellectual Property

6. Confidentiality

In the course of providing Services, both parties may share confidential information. Each party agrees to protect the other's confidential information with the same degree of care it uses to protect its own confidential information, and in no event less than reasonable care. Confidential information shall not be disclosed to third parties without prior written consent.

7. Service Agreements and Payment

Engagement for professional services (custom AI solutions, auditing, consulting) will be governed by separate Statements of Work (SOW) or service agreements that outline scope, deliverables, timelines, and payment terms. Payment terms, including amounts and schedules, will be specified in the applicable service agreement.

8. Disclaimer of Warranties

THE SITE AND SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Site will be uninterrupted, error-free, or free of viruses or other harmful components. Results from AI solutions may vary, and past performance does not guarantee future results.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, AUSH AI SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES RESULTING FROM YOUR USE OF THE SITE OR SERVICES.

In no event shall our total liability exceed the amount you paid to AUSH AI in the twelve (12) months preceding the claim.

10. Indemnification

You agree to indemnify, defend, and hold harmless AUSH AI and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the Site or Services, your violation of these Terms, or your violation of any rights of a third party.

11. Third-Party Links

The Site may contain links to third-party websites or services that are not owned or controlled by AUSH AI. We have no control over, and assume no responsibility for, the content, privacy policies, or practices of any third-party websites or services.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts located in Texas.

13. Severability

If any provision of these Terms is held to be unenforceable or invalid, such provision will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will continue in full force and effect.

14. Termination

We may terminate or suspend your access to the Site and Services immediately, without prior notice or liability, for any reason, including if you breach these Terms. Upon termination, your right to use the Site and Services will immediately cease.
